1. Who we are

TrueFile is operated by Pace Yourself Online LLC ("we", "us", "our"), a limited liability company. By creating an account or using TrueFile (the "Service"), you ("you", "user") enter into a contract with Pace Yourself Online LLC.

2. Acceptance

By accessing or continuing to use the Service, you agree to these Terms. If you do not agree, do not use the Service. You confirm you are of legal age and, if using on behalf of a business, that you have authority to bind that business.

3. The Service

TrueFile provides cost-per-file analytics and broker price opinion (BPO) tools for REO brokers. The Service is provided on a subscription basis and is delivered through our web application.

4. Acceptable use

You must not:

• Use the Service for unlawful purposes, fraud, or spam;
• Infringe intellectual property or privacy rights of others;
• Probe, scan, scrape, or interfere with the security or integrity of the Service;
• Upload malware, viruses, or other harmful code;
• Resell, redistribute, or reverse engineer the Service;
• Circumvent rate limits, plan limits, or other technical restrictions.

5. Account & credentials

You are responsible for safeguarding your login credentials and for all activity under your account. Provide accurate registration information and keep it current.

6. Intellectual property

Pace Yourself Online LLC retains all rights, title, and interest in the Service, including its software, calculations, models, documentation, and branding. We grant you a limited, non-exclusive, non-transferable right to use the Service within your subscribed plan.

7. Your content

You retain ownership of data you upload (including P&L statements and BPO inputs). You grant us a limited license to host and process this data solely to provide the Service.

8. Payments, billing, and subscriptions

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment terms, billing cycles, taxes, renewals, cancellations, and refunds are governed by Paddle's Buyer Terms and our Refund Policy.

9. Service availability

We strive for high availability but do not guarantee that the Service will be uninterrupted or error-free. We may perform maintenance, updates, or change features at any time.

10. Suspension & termination

We may suspend or terminate your access for: material breach of these Terms, non-payment, security or fraud risk, or repeated/serious policy violations. On termination, your right to use the Service ends. You may export your data within 30 days of termination, after which it may be deleted.

11. Warranties & disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose. TrueFile's calculations are decision-support tools, not financial, legal, or tax advice.

12. Limitation of liability

To the fullest extent permitted by law, our aggregate liability arising from or related to the Service is limited to the fees you paid to us (or to Paddle on our behalf) in the twelve (12) months preceding the claim. We are not liable for indirect, consequential, special, or punitive damages, including lost profits, lost data, or loss of goodwill. Nothing in these Terms excludes liability for fraud, death, or personal injury where such exclusion is prohibited by law.

13. Indemnification

You agree to indemnify and hold harmless Pace Yourself Online LLC from claims arising out of your content, your unlawful use of the Service, or your breach of these Terms.

14. Governing law

These Terms are governed by the laws of the United States and the state in which Pace Yourself Online LLC is registered, without regard to conflict-of-laws principles. Disputes will be resolved in the state or federal courts of that jurisdiction.

15. Changes

We may update these Terms from time to time. Material changes will be communicated by email or in-app notice. Continued use after changes take effect constitutes acceptance.
