1. Who we are
TrueFile is operated by Pace Yourself Online LLC ("we", "us", "our"), a limited liability company. TrueFile™ is a trademark of Pace Probity LLC (USPTO registration pending), licensed to Pace Yourself Online LLC for operation of the Service. By creating an account or using TrueFile (the "Service"), you ("you", "user") enter into a contract with Pace Yourself Online LLC.
2. Acceptance
By accessing or continuing to use the Service, you agree to these Terms. If you do not agree, do not use the Service. You confirm you are of legal age and, if using on behalf of a business, that you have authority to bind that business.
3. The Service
TrueFile is an operations and decision-support platform for REO brokers. The Service includes (and may grow to include) the following surfaces:
- Cost Intelligence — REO, BPO, and commercial cost modeling, P&L upload and review, quarterly variance tracking, and PDF exports.
- TrueFile™ Hub — Assignments, Closing Board / Transaction Coordination checklist, Inspections, Utilities, Listings, Vendors, Photo Processor, Critical Dates, and Tasks.
- Reimbursement Package Builder — invoice OCR, AM reimbursement form auto-fill, package PDF assembly, and reconciliation.
- Client Book — per-AM operations and financials worksheet.
- Marge — your TrueFile™ AI agent for chat, audio walkthroughs, and proactive nudges across the platform.
We deliver the Service through our web application on a subscription basis. Features, tiers, and add-ons may change as the platform evolves.
4. Acceptable use
You must not:
- Use the Service for unlawful purposes, fraud, or spam;
- Infringe intellectual property or privacy rights of others;
- Probe, scan, scrape, or interfere with the security or integrity of the Service;
- Scrape, redistribute, or attempt to extract the shared AM form template library or other cross-user metadata;
- Use Marge output, cost-model output, or any other Service output to coordinate fees, pricing, or terms with other brokers or firms;
- Upload malware, viruses, or other harmful code;
- Resell, redistribute, sublicense, or reverse engineer the Service;
- Circumvent rate limits, plan limits, or other technical restrictions.
5. Account & credentials
You are responsible for safeguarding your login credentials and for all activity under your account. Provide accurate registration information and keep it current. Team seats are governed by the seat owner; the seat owner is responsible for granting and revoking access.
6. Intellectual property
Pace Yourself Online LLC and its licensors retain all rights, title, and interest in the Service, including its software, calculations, cost models, AI prompts and orchestration, documentation, and branding. TrueFile™ is a trademark of Pace Probity LLC (registration pending). We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service within your subscribed plan.
7. Your content
You retain ownership of data you upload or enter, including P&L statements, invoices, checks, property records, BPO inputs, AM correspondence, photos, and chat messages with Marge ("Your Content"). You grant us a limited, worldwide, royalty-free license to host, process, transmit, and display Your Content solely to (a) provide and improve the Service for you, (b) generate the outputs you request, and (c) meet legal obligations.
You confirm you have the right to upload Your Content and that doing so does not violate any agreement (e.g. AM, vendor, or client confidentiality terms) that applies to you.
8. AI features (Marge)
Marge is your TrueFile™ AI agent. She is informational only and is not a fiduciary, financial advisor, accountant, attorney, or licensed professional. Marge surfaces options, frameworks, and questions to help you think — she does not prescribe decisions. You are solely responsible for any business, financial, pricing, contractual, or operational decision you make.
Marge personalizes responses by pulling from your account data at the moment of each request (per-turn, scoped to your data). We do not train or fine-tune any AI model on Your Content, your chat transcripts, your P&L, or any other personal or business data. AI model providers used to power Marge are listed in our Privacy Notice.
9. Cost & financial outputs
Modeled cost-per-file, ROI, savings, and similar dollar figures are directional estimates based on your inputs, presented as approximate ranges. They are not guarantees of outcomes and are not financial, legal, tax, or accounting advice. The Service is not a substitute for a CPA, attorney, or licensed professional, and should not be relied on as the sole basis for any financial decision.
10. Read & queue posture — no payment origination
TrueFile is a read-and-queue platform. We do not originate payments, print checks, move money, hold customer funds, or operate as a money transmitter, payment processor, bank, or money services business. Where the Service connects to your accounting system (for example, a future QuickBooks integration), default access is read-only; any write capability is per-category, opt-in, and subject to broker confirmation thresholds. Check images displayed in the Service have MICR lines and signatures automatically redacted before display.
11. Anti-trust / pricing safe-harbor
The Service does not publish asserted industry averages, "going rates," market rates, or similar pricing signals, and is not intended to facilitate coordination of fees, pricing, or terms among brokers or firms. You agree not to use the Service for any such purpose. All pricing, fee, and negotiation decisions are yours alone, made independently.
12. Shared template library
When a user maps a blank AM reimbursement form, the resulting field-map (the structural template — field positions and labels on the blank form) is added to a shared library so that other brokers can auto-fill the same form. Your business data is never shared — your tax ID, addresses, invoice contents, vendor lists, AM contacts, and the values you fill into any form remain private to your account.
13. Third-party integrations & future features
Integrations such as accounting connections (e.g. QuickBooks) and email connections (e.g. Gmail, Outlook), if and when offered, require your separate authorization. They use minimum-scope, read-only access by default, and you may revoke them at any time from your account settings. We are not responsible for the availability, accuracy, or security of third-party services.
14. Payments, billing, and subscriptions
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment terms, billing cycles, taxes, renewals, cancellations, and refunds are governed by Paddle's Buyer Terms and our Refund Policy. Add-on subscriptions (such as the Reimbursement Package Builder) are billed as separate SKUs and are governed by the same terms.
15. Service availability
We strive for high availability but do not guarantee that the Service will be uninterrupted or error-free. We may perform maintenance, updates, add or remove features, or change the platform at any time.
16. Suspension & termination
We may suspend or terminate your access for: material breach of these Terms, non-payment, security or fraud risk, or repeated/serious policy violations. On termination, your right to use the Service ends. You may export Your Content within 30 days of termination, after which it may be deleted.
17. Warranties & disclaimers
The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and accuracy. All outputs of the Service — including cost models, Marge responses, OCR results, reimbursement packages, and PDF exports — are decision-support tools and not financial, legal, tax, or accounting advice.
18. Limitation of liability
To the fullest extent permitted by law, our aggregate liability arising from or related to the Service is limited to the fees you paid to us (or to Paddle on our behalf) in the twelve (12) months preceding the claim. We are not liable for indirect, consequential, special, or punitive damages, including lost profits, lost data, lost reimbursements, AM rejections, or loss of goodwill. Nothing in these Terms excludes liability for fraud, death, or personal injury where such exclusion is prohibited by law.
19. Indemnification
You agree to indemnify and hold harmless Pace Yourself Online LLC, Pace Probity LLC, and their officers and employees from claims arising out of Your Content, your unlawful use of the Service, your violation of any third-party agreement (including AM, vendor, or client confidentiality terms), or your breach of these Terms.
20. Governing law
These Terms are governed by the laws of the United States and the state in which Pace Yourself Online LLC is registered, without regard to conflict-of-laws principles. Disputes will be resolved in the state or federal courts of that jurisdiction.
21. Changes
We may update these Terms from time to time. Material changes will be communicated by email or in-app notice. Continued use after changes take effect constitutes acceptance.
